FlowLab offers flexible engagement structures for operators who prefer full ownership, balanced hybrid investment or a lower upfront managed SaaS launch. The proprietary option reflects the committed 31 man days of delivery effort valued at S$27,900 before friendship pricing is applied.

Commercial philosophy: The committed delivery effort represents 31 man days. At a reference rate of S$900 per man day, the delivery effort alone is valued at S$27,900 before friendship pricing is applied. The three commercial models are therefore structured to give Gallop Billiard flexibility while keeping the economics sustainable for FlowLab.

Managed launch support: The monthly subscription includes managed platform support, reasonable remote troubleshooting and launch advisory during the stabilisation phase of Gallop Billiard’s autonomous operating model. This does not include venue staffing, customer service handling, supervision, cleaning or daily operational manpower replacement.

Lighting integration

Chargeable separately
Current V1 scope only requires integration with Gallop Billiard’s existing lighting control workflow for automated table light activation and shutdown.

Integration assessment

Subject to validation
If the existing lighting panels or relay controls are technically accessible, implementation remains straightforward. Where proprietary or unsupported control systems are encountered, specialist intervention or alternative approaches may be required.

Future table expansion: The Fully Managed SaaS model is based on 6 deployed playable tables. If Gallop Billiard adds more tables in future, the subscription and configuration scope will be reviewed. FlowLab will support minor configuration changes using a 0.5 man day charge where practical, instead of imposing a full 1 man day minimum for small table expansion changes.
Minimum commitment: A 12 month founding partner subscription commitment applies to support the reduced upfront managed launch commercial model.
Exclusions: Hardware purchase, payment gateway charges, SMS or WhatsApp messaging charges, third party software licences, internet service, cabling works, specialist intervention and on site contractor costs are excluded unless specifically included in the final scope.
Best effort and third party dependency: FlowLab will make commercially reasonable best efforts to implement the proposed autonomous workflows based on available technical information, supported hardware capabilities and vendor interoperability. Where existing lighting panels, control panels or related third party equipment do not provide compatible interfaces, APIs, relay controls or integration pathways, additional third party technical expertise, vendor intervention, replacement hardware or alternative implementation methods may be required. Any such specialist consultation, hardware replacement, third party engagement or additional work will be separately discussed, scoped and chargeable where applicable. FlowLab does not guarantee successful integration with proprietary or unsupported third party systems where technical access is restricted.

Key assumptions

Reliable internet connectivity is required for autonomous operations.

Customer misuse, late checkout and incident escalation procedures must be jointly defined.

Payment approval timelines depend on the selected gateway provider.

Existing lighting panels and related third party hardware must expose technically accessible integration pathways. Where access is unavailable, specialist intervention, redesign or hardware changes may be required.

Commercial Terms & Conditions

Proposal validity

This proposal remains valid for 30 calendar days from issue date unless revised or withdrawn by FlowLab.

Payment terms

Monthly subscription fees are payable in advance. Late payment may result in service suspension.

Change requests

Requirements outside the agreed V1 Functional Scope will be separately discussed, scoped and quoted. For minor table expansion configuration changes, FlowLab may apply a 0.5 man day charge where practical instead of a full 1 man day minimum.

Support scope

Managed platform support covers hosting, maintenance, software support and reasonable troubleshooting for the defined solution scope only.

Service continuity

FlowLab will use commercially reasonable efforts to maintain service continuity, but uninterrupted availability is not guaranteed unless separately contracted.

Intellectual property

The software platform, workflows and associated intellectual property remain the property of FlowLab unless otherwise agreed in writing under a separate ownership arrangement.

Early termination

If the agreement is terminated before completion of the 12 month minimum commitment period, an early termination fee equivalent to the remaining committed subscription fees will apply unless otherwise mutually agreed in writing.

Governing law

This proposal and any resulting agreement shall be governed by the laws of Singapore.

Limitation of liability

FlowLab’s aggregate liability arising from this proposal or resulting services shall not exceed the total fees paid by Gallop Billiard in the preceding 3 months.

Force majeure

FlowLab shall not be liable for delays or failures caused by events beyond reasonable control, including internet outages, power failures, cloud service disruption, third party vendor failures or regulatory restrictions.
